Agreement
These Terms of Service govern use of subframe.agency and professional services provided by Subframe Digital LLC, with registered office at 212 N. 2nd St. Ste 100, Richmond, KY 40475, USA. By contacting us, booking a call, or entering a statement of work, you agree to these terms.
Services
We provide ecommerce design, Shopify development, and store migrations as described on this site and in written proposals. Scope, timeline, and fees are defined in a statement of work or proposal. Discovery calls are complimentary and create no obligation.
Intellectual property
Unless otherwise agreed in writing, client deliverables transfer to the client upon full payment. We retain rights to our pre-existing tools, methods, and generic know-how. The Subframe name, mark, and site content remain property of Subframe Digital LLC.
Payment
Invoices are due as specified in the proposal. Work may pause if invoices remain unpaid. Refunds and service levels are described in our Refund & Service Level Policy.
Limitation of liability
To the fullest extent permitted by law, Subframe Digital LLC is not liable for indirect, incidental, or consequential damages. Aggregate liability for any engagement is limited to fees paid for that engagement in the preceding twelve months.
Governing law
These terms are governed by the laws of the Commonwealth of Kentucky, USA, without regard to conflict-of-law rules.
